Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LeadPipe AI platform, website, and related services (collectively, the "Service") operated by LeadPipe AI Inc. ("LeadPipe", "we", "us", or "our"), a corporation headquartered in Calgary, Alberta, Canada.

By creating an account, accessing the dashboard, subscribing to a plan, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business, and references to "you" and "your" in these Terms apply to both you and that business.

We may revise these Terms from time to time. Continued use of the Service after a revision takes effect constitutes acceptance of the updated Terms.

LeadPipe AI is a business-to-business (B2B) software-as-a-service (SaaS) platform that delivers exclusive homeowner leads to home service contractors operating in Canada, including plumbers, HVAC technicians, electricians, roofers, painters, landscaping contractors, and general handyman services.

The Service aggregates homeowner demand signals, qualifies those signals through automated and human review processes, and routes the resulting leads to subscribed contractors on an exclusive basis. Each lead is delivered to a single contractor and is not shared, resold, or simultaneously routed to competing contractors.

The Service is currently available to contractors operating primarily in Ontario, with expansion to Alberta, British Columbia, and Quebec planned. We do not guarantee lead volume, geographic coverage in every market, or conversion of any individual lead into a paying job.

To access the Service you must register an account and provide accurate, current, and complete business information, including your legal business name, operating name (if different), service category, service area, business address, and a verified email address. You must be at least eighteen (18) years of age and legally able to form a binding contract under the laws of Ontario.

You are limited to one active account per business entity. Creating multiple accounts to circumvent plan limits, free trials, or account sanctions is prohibited and may result in immediate termination without refund. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us promptly at support@leadpipe.me if you suspect any unauthorized access to your account, change in business ownership, or material change to the information you provided at registration.

LeadPipe AI offers subscription plans billed on a monthly recurring basis in Canadian Dollars (CAD). Plan tiers, features, and current pricing are displayed on the /pricing page and may change with thirty (30) days notice to active subscribers. By subscribing, you authorize us to charge the selected payment method through our payment processor, Stripe, on a recurring basis until you cancel.

You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period — you retain access to the Service until that date and may receive any leads already in your queue. Fees for the current billing period are non-refundable except where required by applicable Canadian consumer protection law.

Taxes, including applicable GST/HST/QST, are added at checkout where required. Failed payments may result in lead delivery being paused; we will notify you by email before suspending the account.

Every lead delivered through the Service is exclusive: it is routed to a single contractor and is never shared with or resold to another contractor for the lifetime of that lead. We qualify leads through automated filters, homeowner verification, and duplicate detection before delivery.

We do not guarantee that any lead will convert into a booked or completed job, and we make no representation regarding homeowner responsiveness, project budget, or ultimate willingness to hire. Lead quality depends on many factors outside our control, including market conditions and contractor responsiveness.

If a lead is invalid — for example, the contact information is incorrect, the homeowner did not request service, or the request is outside your stated service area — you may request a credit within seven (7) days of delivery via the dashboard. Approved credits are applied as a lead credit toward future delivery, not as a cash refund, except where cash refund is required by law.

You agree to use the Service only for lawful business purposes and in compliance with all applicable Canadian federal, provincial, and municipal laws, including anti-spam legislation (CASL), consumer protection law, and trade licensing requirements applicable to your services.

You must not: (a) scrape, crawl, or otherwise extract lead data, homeowner contact information, or platform content at scale; (b) resell, sublicense, or redistribute leads to third parties; (c) contact homeowners outside the scope of the work requested or after a homeowner has revoked consent; (d) impersonate another contractor or misrepresent your business, licensing, or insurance status; (e) attempt to reverse engineer, decompile, or interfere with the Service; or (f) use the Service to send unsolicited commercial electronic messages in violation of CASL.

Violations may result in immediate suspension or termination of your account, forfeiture of any lead credits, and where appropriate, referral to law enforcement or regulatory authorities.

The Service, including its software, branding, design, documentation, lead qualification algorithms, and platform content, is owned by LeadPipe AI Inc. and is protected by Canadian and international intellectual property law. Nothing in these Terms transfers ownership of the Service to you.

You retain all right, title, and interest in your business name, logo, service marks, and any data you upload to the Service (such as your profile, service area, and job history). You grant us a limited, non-exclusive licence to use your business name and branding solely as needed to display your profile and deliver leads through the Service.

Lead contact information is provided to you under a limited licence to contact the homeowner for the purpose of fulfilling the requested service. You may not retain or use lead contact information for unrelated marketing after the service relationship with that homeowner ends or after the homeowner opts out.

To the maximum extent permitted by applicable law, LeadPipe AI Inc., its officers, directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, business, or data, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or related to these Terms or the Service, regardless of the form of action, shall not exceed the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply even if we have been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy. Some provinces do not allow the exclusion or limitation of certain damages, so the foregoing limitations may not apply to you in full.

You agree to indemnify, defend, and hold harmless LeadPipe AI Inc., its officers, directors, employees, and contractors from and against any claims, damages, losses, liabilities, settlements, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including CASL or the rights of any homeowner; or (d) your business operations, including any work performed for homeowners introduced through the Service.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defences. You may not settle any matter without our prior written consent.

This indemnification obligation survives the termination of these Terms.

You may cancel your subscription and close your account at any time from the dashboard, with effect at the end of the current billing period. Upon termination, your access to the Service, including lead delivery and dashboard features, will be discontinued, and lead credits remaining in your account will be forfeited.

We may suspend or terminate your account immediately, without prior notice, if: (a) you breach these Terms; (b) we suspect fraudulent, abusive, or unlawful activity; (c) you fail to pay fees when due; or (d) continued provision of the Service to you is prohibited by law or exposes us to liability.

Upon termination, provisions of these Terms that by their nature should survive — including those regarding intellectual property, indemnification, limitation of liability, and governing law — remain in effect. Sections 5 (Lead Quality) and 6 (Acceptable Use) continue to apply to leads already delivered to you.

These Terms and any dispute arising out of or related to them or to the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You and LeadPipe AI Inc. agree to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto, for any action arising out of or related to these Terms or the Service, and you consent to the venue of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, the remaining provisions remain in full force and effect.

We may modify these Terms from time to time. Where a change is material — for example, a change to fee structure, lead exclusivity commitments, or dispute resolution — we will provide at least thirty (30) days notice by email to the address associated with your account and by posting the revised Terms on this page with an updated "Last updated" date.

For non-material changes, such as clarifications, formatting, or administrative updates, we may update these Terms without prior notice, though we will always reflect the current "Last updated" date on this page.

Your continued use of the Service after the effective date of any revised Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date and discontinue use of the Service.
